A Brand Ambassador Agreement is the contract between a company and an individual — athlete, celebrity, social media personality, or community figure — who agrees to represent the brand publicly, promote its products and services, and embody the brand's image and values in exchange for compensation. Unlike a one-time sponsored post (which is governed by an Influencer Agreement), a brand ambassador arrangement is an ongoing relationship with broader obligations: attending events, wearing branded clothing, using branded products exclusively, and making ongoing content appearances. This Brand Ambassador Agreement (the "Agreement") is entered into as of ______________ by and between ______________, located at ______________ (the "Brand"), and ______________, located at ______________ (the "Ambassador").
Brand hereby appoints Ambassador as an official brand ambassador for the Brand's products and services described in Section 2. Ambassador's primary platforms and audience: ______________. This appointment is non-exclusive as further described in Section 5.
Ambassador agrees to represent and promote the following Brand products and/or services: ______________. Ambassador agrees to use the Brand's products in their daily life and to represent them authentically.
Throughout the term of this Agreement, Ambassador agrees to: ______________. All content created for the Brand shall be of professional quality, consistent with Ambassador's usual standard, and shall positively reflect the Brand's image.
In all sponsored content — posts, videos, stories, and other media — Ambassador shall clearly disclose the material connection with the Brand using language required by FTC guidelines, such as: "#ad," "#sponsored," "Paid partnership with [Brand]," or equivalent disclosures that are: (a) clear and conspicuous; (b) placed where viewers will notice them; and (c) not hidden in a long list of hashtags. Brand is not responsible for Ambassador's failure to comply with FTC disclosure requirements.
This Agreement is non-exclusive. Ambassador may represent other brands and perform other commercial engagements, provided they do not conflict with Ambassador's obligations under this Agreement.
Compensation: ______________. All compensation is subject to applicable income tax. Ambassador is responsible for all income taxes and self-employment taxes on compensation received.
Content approval process: ______________. Brand shall have the right to request removal of any content that materially misrepresents the Brand's products or is inconsistent with the Brand's guidelines.
Ambassador grants Brand a non-exclusive, worldwide license to reproduce, display, and distribute Ambassador-created content featuring the Brand's products on Brand's own marketing channels (website, social media, advertising) during and for 12 months after the term of this Agreement, with proper attribution.
This Agreement is effective for: ______________. Either party may terminate this Agreement upon 30 days' written notice. Brand may terminate immediately for cause if Ambassador: (a) violates the FTC disclosure requirements; (b) is involved in a public scandal that materially damages the Brand; or (c) promotes a competing brand in violation of the exclusivity clause.
