A Cease and Desist Letter for Non-Compete Violation is the formal legal demand sent by a company to a former employee (or their new employer) who is violating a non-compete or non-solicitation agreement. The letter demands immediate cessation of the violating activity and warns of imminent legal action — typically a lawsuit for injunctive relief (a court order requiring the former employee to stop) and damages. Courts assess non-compete enforcement based on reasonableness of scope, duration, and geography. Most states will enforce reasonable non-competes; California, Minnesota, and North Dakota do not enforce employee non-competes at all. ______________ VIA CERTIFIED MAIL AND EMAIL — [former employee email] ______________ ______________ FROM: ______________ ______________ RE: BREACH OF NON-COMPETE / NON-SOLICITATION AGREEMENT — DEMAND TO CEASE AND DESIST
Dear ______________,
This firm/company represents ______________ (the "Company"). We are writing to demand that you immediately cease and desist your violation of the Non-Compete and/or Non-Solicitation Agreement you executed on ______________ (the "Agreement").
As a condition of your employment with the Company, you signed the Agreement on ______________, pursuant to which you agreed, for a period of ______________ following your separation from the Company (which occurred on ______________), not to: ______________. The Agreement also prohibits disclosure of the Company's confidential information and trade secrets.
______________
These activities constitute a material breach of the Agreement and are causing and will continue to cause irreparable harm to the Company for which monetary damages alone are inadequate.
The Company hereby demands that you: ______________. Your written confirmation of compliance must be received by the Company within 10 days of the date of this letter.
If you fail to comply with this demand, the Company intends to pursue all available legal remedies without further notice, including: (a) filing a lawsuit seeking emergency injunctive relief and a temporary restraining order (TRO) requiring your immediate compliance; (b) seeking damages for lost business, misappropriation of trade secrets, and breach of contract; (c) seeking reimbursement of attorney's fees if the Agreement provides for fee-shifting; and (d) notifying your current employer of the Agreement and your breach.
We urge you to take this matter seriously. Injunctions for non-compete violations can be obtained quickly and can immediately threaten your employment with your current employer. We prefer to resolve this matter without litigation.
Very truly yours,
