This Commercial Cleaning Services Agreement (the "Agreement") is entered into as of ______________ by and between ______________, located at ______________ ("Company"), and ______________, located at ______________ ("Client"), for cleaning services at the property located at ______________ (approximately 0 sq. ft. of ______________).
Company agrees to provide Client with the following cleaning and janitorial services (the "Services"): ______________. Services shall be performed in a professional, thorough, and workmanlike manner using trained and supervised cleaning personnel.
The following services are NOT included in this Agreement and may be performed under a separate quote: Any services not expressly listed in Section 1 above. Specialty cleaning services (post-construction, biohazard, or deep-clean requests) shall be quoted and billed separately.
Company shall perform the Services at the following times: ______________. Company shall not reschedule cleaning visits without providing Client at least 24 hours' advance notice, except in the event of an emergency. If a scheduled cleaning is cancelled or rescheduled due to Client's request (e.g., office closure or facility issue), Company shall make reasonable efforts to reschedule within the same week, but no credit shall be issued if the cleaning cannot be rescheduled.

Company represents that all cleaning chemicals used by Company are safe for use in the property type specified, comply with applicable OSHA and EPA regulations, and are used in accordance with product labels. Company shall provide Client with Safety Data Sheets (SDS) for all chemicals used upon request.
Client shall pay Company $0.00 per month for the Services. Company shall invoice Client on the first of each month. Payment is due within 15 days of the invoice date. Accounts more than 30 days past due shall accrue a 1.5% monthly late fee. Company may suspend Services for accounts more than 45 days past due. All specialty services, supply charges, and additional cleaning requests shall be billed on a separate invoice.
Company shall: (a) employ only trained, professional cleaning staff; (b) perform criminal background checks on all employees who will be assigned to Client's property; (c) maintain a complete and current list of all personnel with access to Client's property and provide such list to Client upon request; (d) require all cleaning staff to carry company-issued photo ID while on Client's premises; (e) immediately notify Client of any termination of a cleaning staff member who held access to Client's property; and (f) maintain strict control of all keys, access cards, and alarm codes provided by Client. Lost or unreturned keys shall result in Company paying for re-keying costs.
Company shall maintain, at all times: (a) commercial general liability insurance with limits of not less than $1,000,000 per occurrence and $2,000,000 aggregate; (b) a commercial cleaning bond (fidelity bond) providing coverage for theft by Company's employees; and (c) workers' compensation insurance as required by applicable law. Company shall provide Client with certificates of insurance and a copy of the fidelity bond upon request and prior to commencement of services.
Company shall exercise reasonable care to avoid damage to Client's property during the performance of Services. Client shall promptly notify Company of any damage discovered during or after a cleaning visit, and Company shall investigate and respond in writing within 72 hours. Company's liability for property damage shall be limited to the actual repair or replacement cost of the damaged item, less reasonable depreciation for age and wear. Company shall not be liable for: (a) pre-existing damage; (b) damage to items of extraordinary value not disclosed to Company; (c) breakage of inherently fragile items (fine china, antiques); or (d) losses not reported within 48 hours of the applicable cleaning visit.
This Agreement shall commence on ______________ and shall continue month-to-month until terminated by either party upon 30 days' written notice. Company may terminate immediately if Client fails to pay two consecutive monthly invoices. Upon termination, Client shall return all Company-owned equipment and Company shall return all of Client's keys, access cards, and security codes.
This Agreement shall be governed by and construed in accordance with the laws of the State of ______________, without regard to its conflict-of-laws principles.
