This Commercial Sublease Agreement (the "Sublease") is entered into as of ______________ by and between ______________, located at ______________ ("Sublandlord"), and ______________, located at ______________ ("Subtenant").
Sublandlord currently leases the premises described herein from ______________ (the "Master Landlord") pursuant to a lease dated ______________ (the "Master Lease"). Sublandlord hereby subleases a portion of the premises to Subtenant, as more particularly described in Section 2 below. Master Landlord consent status: ______________. The term of this Sublease shall commence on ______________ and shall expire on ______________ (the "Sublease Term"), unless sooner terminated in accordance with this Sublease or the Master Lease. The Sublease Term shall not exceed the remaining term of the Master Lease.
Subtenant shall pay Sublandlord monthly rent of $0.00 per month, due on the first day of each calendar month. Rent shall be paid at Sublandlord's address above or as otherwise directed by Sublandlord in writing. Late rent shall accrue a late fee of 5% of the monthly rent if not received by the 5th of the month.
Subtenant shall deposit $0.00 as a security deposit upon signing. The security deposit shall be held by Sublandlord without interest and returned within 30 days after expiration of the Sublease Term, less any deductions for unpaid rent, damages, or other amounts owed by Subtenant.
Subtenant agrees to comply with all terms and conditions of the Master Lease that are applicable to the Subleased Premises, which are hereby incorporated by reference. Subtenant shall not take any action or omit to take any action that would cause Sublandlord to be in breach of the Master Lease. Sublandlord shall maintain the Master Lease in full force and effect, pay all rent due under the Master Lease, and promptly notify Subtenant of any notice received from Master Landlord.
Sublandlord shall provide Subtenant with quiet enjoyment of the Subleased Premises during the Sublease Term, provided Subtenant is not in default. Sublandlord shall use commercially reasonable efforts to enforce the Master Landlord's obligations under the Master Lease for the benefit of Subtenant, but Sublandlord shall not be liable to Subtenant for any failure by Master Landlord to perform.
Subtenant shall not further assign this Sublease or sub-sublet the Subleased Premises without the prior written consent of both Sublandlord and Master Landlord.
This Sublease shall automatically terminate upon any termination of the Master Lease, regardless of cause, without liability of Sublandlord to Subtenant for any resulting loss or damage. Either party may terminate this Sublease for material breach upon 30 days' written notice and opportunity to cure.
This Agreement shall be governed by and construed in accordance with the laws of the State of ______________, without regard to its conflict-of-laws principles.
