This Domain Name Sale and Transfer Agreement (the "Agreement") is entered into as of ______________ by and between ______________, located at ______________ ("Seller"), the current registered owner of the domain name(s) described herein, and ______________, located at ______________ ("Buyer").

The total purchase price for the Domain is $0.00 (the "Purchase Price"), payable by: ______________. Payment shall be made as follows: full Purchase Price due before Seller initiates the domain transfer.
Seller shall initiate the domain transfer as follows: ______________. Seller shall: (a) disable WHOIS privacy protection on the Domain to allow the transfer; (b) unlock the Domain at the registrar; (c) provide Buyer with the domain transfer authorization code (EPP code) or initiate a push transfer as applicable; and (d) cooperate with Buyer and Buyer's registrar to complete the transfer. Buyer shall accept the transfer through Buyer's chosen registrar within the available transfer window. If the transfer fails due to circumstances within Seller's control, Seller shall re-initiate the process at no additional cost.
Seller represents and warrants that: (a) Seller is the sole registered owner of the Domain and has the full right to sell and transfer it; (b) the Domain is free of all liens, claims, and encumbrances; (c) the Domain is not subject to any pending UDRP (Uniform Domain-Name Dispute-Resolution Policy) proceeding, ACPA (Anticybersquatting Consumer Protection Act) claim, or other legal dispute; (d) the Domain name does not infringe any third party's trademark rights to Seller's knowledge; (e) the Domain is not currently in a registrar lock, hold, or redemption period; and (f) Seller is not using the Domain to host illegal content.
Upon completion of the transfer, Buyer becomes the sole owner of the Domain. Seller shall cooperate with any reasonable post-transfer requests to resolve technical issues. Buyer is responsible for all Domain renewal fees after the transfer date.
This Agreement shall be governed by and construed in accordance with the laws of the State of ______________, without regard to its conflict-of-laws principles.
