Client shall provide access to the property, timely decisions on design selections, and authorization prior to any purchases made on Client's behalf.
If Designer makes purchases on Client's behalf, Client shall pre-authorize each purchase or provide a purchase credit. Designer may receive trade discounts, which shall be disclosed to Client.
All design concepts and documents prepared by Designer remain Designer's property until full payment, at which point Client receives a license to implement the designs for the specified project only.
Either party may terminate with thirty (30) days' written notice. Client shall pay for all services rendered through the termination date.
This Agreement shall be governed by and construed in accordance with the laws of the State of ______________, without regard to its conflict-of-laws principles.
