This Internship Agreement (the "Agreement") is entered into as of ______________ by and between ______________, located at ______________ (the "Organization"), and ______________, located at ______________ (the "Intern").
The Intern's internship shall commence on ______________ and conclude on ______________, unless earlier terminated in accordance with this Agreement. The Intern will work in the ______________ department under the supervision of ______________. The expected time commitment is approximately 20 hours per week.
This is a paid internship. Organization shall pay Intern at the rate of as agreed in accordance with applicable federal, state, and local minimum wage and overtime laws. Intern is classified as a non-exempt employee for wage and hour law purposes, and applicable taxes shall be withheld from all compensation.
The Organization shall provide the Intern with structured training and educational experiences designed to accomplish the following learning objectives: ______________. The Organization's supervisor shall dedicate reasonable time to mentoring, feedback, and guiding the Intern's professional development throughout the internship.
Intern agrees to: (a) report to work as scheduled and perform assigned tasks diligently and professionally; (b) comply with all applicable Organization policies, procedures, and codes of conduct; (c) maintain the confidentiality of all Confidential Information (as defined in Section 5); (d) conduct themselves in a professional and respectful manner; and (e) promptly notify their supervisor of any concerns, conflicts, or issues arising during the internship.
During and after the internship, Intern agrees to keep confidential all non-public information of the Organization, including business strategies, financial data, customer information, trade secrets, and any other proprietary information that Intern encounters or has access to during the internship. Intern shall not disclose any Confidential Information to any third party and shall use it solely for performing internship duties. Intern shall return all Confidential Information and Organization materials upon termination of the internship.
All work product, inventions, designs, writings, code, and other intellectual property created by Intern during the internship, using Organization resources or in furtherance of Organization's business, shall be the sole and exclusive property of Organization and shall constitute "work made for hire" under applicable copyright law. To the extent any such work product does not qualify as work made for hire, Intern hereby assigns all rights therein to Organization.
The Intern is a temporary, non-exempt employee of the Organization for the duration of the internship term only. This Agreement does not create any expectation of continued employment beyond the internship end date, and the Organization makes no promise of future employment.
Either party may terminate this Agreement upon three (3) business days' written notice. Organization may terminate immediately for cause, including violation of Organization policies, breach of confidentiality, unethical conduct, or unsatisfactory performance. Upon termination, Intern shall immediately return all Organization property and materials.
This Agreement shall be governed by and construed in accordance with the laws of the State of ______________, without regard to its conflict-of-laws principles.
