This Patent Assignment Agreement (the "Assignment") is entered into as of ______________ by and between ______________, located at ______________ ("Assignor"), and ______________, located at ______________ ("Assignee").
WHEREAS, Assignor is the owner of the following invention and related patent rights (collectively, the "Patent Rights"):

WHEREAS, Assignee desires to acquire all right, title, and interest in and to the Patent Rights, and Assignor is willing to assign the same to Assignee for good and valuable consideration;
NOW, THEREFORE, in consideration of the payment of $1.00 and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
Assignor hereby irrevocably and unconditionally assigns, transfers, and conveys to Assignee, and Assignee's successors and assigns, all of Assignor's right, title, and interest in and to the Patent Rights, including: (a) The patent(s) and patent application(s) identified above; (b) All claims of priority based on the patent applications identified above; (c) The right to file, prosecute, and maintain patent applications in any jurisdiction claiming priority to the above applications; (e) All causes of action for past, present, and future infringement of the Patent Rights; (f) All rights to collect royalties, damages, and other amounts due or payable to Assignor in respect of the Patent Rights; and (g) All other rights, privileges, and benefits associated with the Patent Rights in any jurisdiction throughout the world.
To the extent Assignor is or represents the inventor(s) of the Patent Rights, each inventor hereby assigns all of their right, title, and interest in and to the Patent Rights to Assignee, including any moral rights or right of attribution to the extent permitted by applicable law. This assignment is made for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by each inventor.
In full consideration for this Assignment, Assignee shall pay Assignor the sum of $1.00 (the "Assignment Fee"), the receipt and sufficiency of which is hereby acknowledged. The parties acknowledge that this consideration is adequate and constitutes full payment for the Patent Rights assigned herein.
Assignor agrees to: (a) execute all additional documents, assignments, applications, and instruments reasonably requested by Assignee or the USPTO (or any foreign patent office) to perfect, record, or enforce Assignee's ownership of the Patent Rights; (b) cooperate fully with Assignee in the prosecution, maintenance, and enforcement of the Patent Rights; (c) provide all information, data, and technical assistance reasonably requested by Assignee in connection with the Patent Rights; and (d) designate Assignee as attorney-in-fact to execute any such documents if Assignor is unable or unwilling to do so, which designation is coupled with an interest and irrevocable.
Assignor represents and warrants to Assignee that: (a) Assignor is the sole and exclusive owner of the Patent Rights and has the full right and authority to make this Assignment; (b) the Patent Rights are free and clear of all liens, licenses, encumbrances, and claims of third parties; (c) Assignor has not granted any license, option, or right in or to the Patent Rights to any third party; (d) to Assignor's knowledge, the invention does not infringe any patent, trade secret, or other intellectual property right of any third party; (e) there is no pending or, to Assignor's knowledge, threatened litigation, claim, or proceeding challenging Assignor's ownership or the validity of the Patent Rights; and (f) all inventors have been properly identified on the patent applications.
Assignee shall be responsible for recording this Assignment with the United States Patent and Trademark Office (USPTO) in accordance with 35 U.S.C. § 261. The parties acknowledge that recording within three (3) months of the effective date of this Assignment shall protect Assignee against subsequent purchasers without notice. Assignor authorizes and directs the USPTO to record this Assignment.
This Agreement shall be governed by and construed in accordance with the laws of the State of ______________, without regard to its conflict-of-laws principles.
