This Photography Services Contract (the "Contract") is entered into as of ______________ by and between ______________, located at ______________ ("Photographer"), and ______________, located at ______________ ("Client").
Photographer agrees to provide ______________ services for Client on the following date: ______________, commencing at ______________ at the following location(s): ______________. Photographer shall provide professional photography services at the location(s) and during the scheduled time, and shall exercise professional judgment in selecting subjects, angles, lighting, and compositions consistent with the style and preferences agreed upon by the parties.
Photographer shall deliver to Client the following: ______________. Images shall be delivered within ______________ via an online gallery, file transfer service, or physical media as agreed. Client acknowledges that the specific images selected for delivery are subject to Photographer's professional judgment and creative discretion. Requests for additional edited images or alternative edits beyond the agreed deliverables shall be subject to additional fees.
The total fee for the photography services described herein is $0.00 (the "Photography Fee"). Payment shall be made as follows: (a) Non-Refundable Retainer: $0.00, due upon signing this Contract. The retainer is non-refundable under any circumstances and compensates Photographer for reserving the session date and turning away other bookings. (b) Remaining Balance: $0.00 minus $0.00, due: ______________. Payment may be made by check, credit card, or electronic transfer. If the remaining balance is not paid by the agreed due date, Photographer reserves the right to reschedule the session or withhold image delivery until payment is received.

In the event of cancellation due to extreme weather, illness of the Photographer, or force majeure event outside Photographer's control, Photographer shall offer Client a full credit toward a rescheduled session. Photographer's liability for cancellation due to force majeure shall be limited to return of the retainer.
All photographs and digital files created by Photographer under this Contract are and shall remain the exclusive intellectual property of Photographer, subject to the license granted herein. Photographer grants Client a non-exclusive, personal, non-transferable license to use the delivered images for personal use only, including printing personal copies, sharing on personal social media, and use in personal communications. Client shall not sell, license, sublicense, assign, publish commercially, or otherwise exploit the images for any commercial purpose without Photographer's prior written consent and payment of a separate commercial license fee.
Client grants Photographer the right to display, exhibit, and use the images in Photographer's professional portfolio, website, social media, and marketing materials, for the purpose of promoting Photographer's services. If Client desires images to remain private and out of Photographer's portfolio, Client must specify this request in writing before the session, and Photographer may charge an additional fee for this restriction.
Client, and on behalf of all persons photographed who are accompanying Client to the session, hereby grants Photographer a model release authorizing the portfolio use described in Section 6. Client represents that all persons to be photographed are aware of and consent to this release, or that Client has obtained signed model releases from all other subjects. Client shall provide Photographer with any required releases before the session begins.
Photographer shall use professional-grade, redundant storage systems (dual memory cards during shooting and backup hard drives) to minimize the risk of data loss. However, Photographer shall not be liable for loss of images due to equipment failure, digital corruption, or unforeseen circumstances beyond Photographer's reasonable control. Client is advised to make backup copies of all delivered images promptly upon receipt. Photographer shall not store or maintain a copy of the original images beyond 90 days after delivery.
Photographer's total liability under this Contract shall be limited to the amount of the Photography Fee actually paid by Client. In no event shall Photographer be liable for any indirect, consequential, special, punitive, or incidental damages, including damages for loss of memories, business interruption, or loss of images, regardless of the cause. Client's sole remedy in the event of Photographer's failure to perform shall be a refund of the Photography Fee.
This Agreement shall be governed by and construed in accordance with the laws of the State of ______________, without regard to its conflict-of-laws principles.
