This Referral Fee Agreement (the "Agreement") is entered into as of ______________ by and between ______________, located at ______________ (the "Company"), and ______________, located at ______________ (the "Referral Partner").
The Company wishes to engage Referral Partner to introduce prospective customers to Company's products and services described in Section 2 below, and to compensate Referral Partner for qualifying referrals that result in a completed transaction, as further described herein.
The referral program applies to the following products and/or services offered by Company: ______________ (the "Services"). Company may amend the scope of eligible Services upon 30 days' written notice to Referral Partner.
A "Qualifying Referral" means a specific introduction of a prospective customer to Company by Referral Partner where: (a) the prospective customer is not already a customer of, or in active discussions with, Company at the time of introduction; (b) Referral Partner provides the prospective customer's name, contact information, and a warm introduction in writing to Company; (c) the prospective customer enters into an agreement with Company for the Services within 180 days of the introduction date; and (d) the transaction is actually consummated and not subsequently cancelled or voided.
Company shall pay Referral Partner a referral fee of ______________ (the "Referral Fee") for each Qualifying Referral, calculated on a ______________ basis. The Referral Fee shall be earned when: ______________. The Referral Fee is non-refundable once earned, unless the underlying transaction is subsequently voided, reversed, or charged back.
Referral Fees shall be paid within thirty (30) days of the qualifying event. Company shall provide Referral Partner with a written statement of each Qualifying Referral transaction, the applicable fee calculation, and any adjustments. Disputes regarding Referral Fee calculations must be raised in writing within 60 days of the relevant payment statement.
Referral Partner shall: (a) make referrals in good faith and based on genuine belief that the referred party may benefit from Company's Services; (b) not make any representations, warranties, or commitments on Company's behalf; (c) not misrepresent Company's Services, pricing, or capabilities; (d) disclose to referred parties that Referral Partner may receive a fee if they become a customer of Company (as required by applicable law and FTC guidelines); and (e) maintain confidentiality of Company's pricing and business information.
Referral Partner is an independent contractor and not an employee, agent, or partner of Company. Referral Partner has no authority to bind Company to any contract or obligation. Company shall issue a Form 1099-NEC if annual Referral Fees equal or exceed $600. Referral Partner is solely responsible for all taxes on Referral Fees received.
This Agreement is non-exclusive. Company may engage other referral partners or sell directly without any obligation to Referral Partner. Referral Partner may refer prospects to other companies, unless a separate exclusivity agreement has been executed.
This Agreement begins on ______________ and continues until terminated by either party on 30 days' written notice. Termination shall not affect Referral Partner's right to receive fees on Qualifying Referrals introduced prior to the termination date, subject to the qualifying event occurring within 90 days after termination.
