This Software License Agreement is made effective ______________ between ______________ ("Licensor") and ______________ ("Licensee") for the software product ______________ (the "Software").

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY LICENSEE. IN NO EVENT SHALL LICENSOR BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.
This Agreement shall be governed by and construed in accordance with the laws of the State of ______________, without regard to its conflict-of-laws principles.
