This Translation Services Agreement (the "Agreement") is entered into as of ______________ by and between ______________, located at ______________ (the "Translator"), and ______________, located at ______________ (the "Client").

Translation shall be performed by a qualified human professional translator with native or near-native proficiency in the target language and subject-matter expertise appropriate for the content type.

Translator shall deliver the completed translation in the agreed format (Word document, PDF, or as specified) by ______________. Translator shall notify Client immediately if any delay is anticipated. Client shall provide all source materials, glossaries, style guides, and reference documents promptly upon signing.
Translator shall provide one round of revisions at no additional charge for corrections requested within 14 days of delivery that relate to inaccuracies in the translation (not changes in the source document). Client-requested changes to the source content or stylistic preferences beyond the initial scope will be quoted and billed separately.
Translator acknowledges that Client's documents may contain confidential, proprietary, or legally sensitive information. Translator agrees to: (a) keep all Client documents and their contents strictly confidential; (b) not share or use Client content for any purpose other than performing this translation; and (c) delete or return all source documents upon project completion.
Upon full payment, all translated content is the property of Client. Translator waives any moral rights in the translated work to the extent permitted by law. Translator retains no rights in the translated output after delivery and final payment.
Translator's liability for any translation error or omission shall be limited to the fee paid for the affected Project. Translator shall not be liable for consequential damages arising from translation errors. Client is responsible for final review of all translated content before legal, regulatory, or official submission.
This Agreement shall be governed by and construed in accordance with the laws of the State of ______________, without regard to its conflict-of-laws principles.
