This Agreement is entered into effective ______________ by ______________, of ______________ ("Client"), and ______________, of ______________ ("Developer").
Developer shall design and develop a website for Client as follows: ______________. Scope: ______________. Any additional work requested by Client outside this scope shall be documented and billed as a change order.
Work shall commence on the Effective Date and Developer shall use commercially reasonable efforts to launch the website on or before ______________, subject to Client's timely provision of content, feedback, and approvals.
The total fee is $0.00. Client shall pay a deposit of $0.00 upon execution, with the balance due upon launch. Additional work is billed separately.
Client shall furnish all text, images, logos, and other content, and warrants that such materials do not infringe any third-party rights. Client shall respond to review requests within five (5) business days.
Upon final payment, Client shall own the final delivered website, excluding third-party components (which remain subject to their respective licenses) and Developer's pre-existing frameworks and tools, which are licensed to Client on a non-exclusive basis for use with the website.
Developer warrants that the site will substantially conform to the agreed specifications for a period of thirty (30) days after launch. Developer's sole obligation is to correct non-conforming work at no additional cost.
This Agreement shall be governed by and construed in accordance with the laws of the State of ______________, without regard to its conflict-of-laws principles.
